These Terms of Service ("Terms") govern access to and use of BillingBaba by restaurant businesses and their authorised staff ("you", "Restaurant"). By creating an account or using the Services, you agree to these Terms.

1. The Service BillingBaba provides cloud software for restaurant operations, including POS/billing, menu management, kitchen display (KOT), online storefront/QR ordering, staff roles, inventory, loyalty features (plan-dependent), and related tools. Features available depend on your subscription plan.

2. Accounts & eligibility You must provide accurate business and contact information. You are responsible for all activity under your account and staff logins. You must keep passwords confidential and notify us of unauthorised access. You must be legally able to operate a food business in your jurisdiction.

3. Plans, trials & billing Paid plans renew according to the plan you select. Prices are shown in INR unless stated otherwise. Offer codes may give a free trial or free access to a paid plan for a stated number of days. Codes have usage limits and expiry dates, and we may withdraw a code or benefit obtained through misuse. Each restaurant, owner, phone number and GSTIN may use one free trial. Free trial: you set up auto-pay (a Razorpay e-mandate) when the trial starts. No plan fee is charged during the trial; your bank may place a small refundable verification charge. The first plan fee is charged automatically when the trial ends, and then at each renewal, until you cancel. We email you before the first charge. To avoid it, cancel auto-pay on the Billing page before the trial ends; you then move to the Free plan when the trial ends. Free access: no payment details are needed. It ends automatically and you move to the Free plan unless you subscribe. Platform subscription fees are charged by BillingBaba (via Razorpay or other processors). Taxes may apply. We may change plan pricing or features with reasonable notice for renewals.

4. Restaurant storefront & customer orders Orders placed by end customers are between the customer and the Restaurant. You are solely responsible for food safety, fulfilment, pricing, taxes (including GST where applicable), refunds to customers, and customer support for orders. Online payments on the storefront may settle to your Razorpay account or UPI ID. You must configure payment settings correctly and comply with payment partner terms. BillingBaba is not a party to the sale of food/beverages and is not liable for order disputes between you and your customers.

5. Acceptable use You will not: misuse the Services; attempt unauthorised access; upload malware; scrape or attack the platform; violate law; infringe IP; send spam; or process illegal content. You will not use the Services for high-risk activities where failure could cause death, personal injury, or severe damage beyond ordinary restaurant software use.

6. Content & menus You retain rights to your menus, logos, and business content. You grant us a licence to host and display that content to provide the Services (including public storefronts and QR links). You confirm you have rights to all images and text you upload.

7. Third-party services The Services integrate with third parties (Firebase/Google Cloud, Razorpay, printers, browsers). Their terms and availability are outside our control.

8. Availability & support We aim for high availability but do not guarantee uninterrupted service. Maintenance, outages, or force majeure may occur. Support is available at support@billingbaba.in during reasonable business hours unless your plan states otherwise.

9. Intellectual property BillingBaba software, branding, and documentation remain our property. You receive a limited, non-exclusive, non-transferable right to use the Services during an active subscription.

10. Suspension & termination We may suspend or terminate accounts for non-payment, abuse, legal risk, or Terms violations. You may stop using the Services and cancel per the Refund & Cancellation Policy. Data export/deletion requests can be sent to support@billingbaba.in.

11. Disclaimers THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, BillingBaba SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST PROFITS DAMAGES. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICES IN THAT PERIOD.

13. Indemnity You will indemnify and hold us harmless from claims arising from your restaurant operations, menu/content, customer orders, tax obligations, payment misconfiguration, or violation of these Terms.

14. Governing law These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction, subject to mandatory consumer protections where applicable.

15. Changes We may update these Terms. Material changes will be reflected by the "Last updated" date. Continued use after changes constitutes acceptance.

16. Partner program The partner program is a referral arrangement, not a restaurant subscription. Applying does not make you an employee, agent, or franchisee of BillingBaba. Eligibility, approval, leads, the one-time commission, the validation period, reversals, and payouts are set out in the Partner Program Policy. That Policy controls if it conflicts with these Terms on a partner-program point. You may not refer yourself or your own restaurant, submit false leads, or promise a restaurant a price, feature, or refund that we have not published.
